Terms of Service
Effective August 27, 2026 · WriteOff Inc.
This is the agreement between you and WriteOff Inc. for use of the Writeoff website and software. Please read it. By using Writeoff you agree to it.
1. Acceptance
These Terms of Service (“Terms”) are a contract between you and WriteOff Inc. (“Writeoff,” “we,” “us”). By creating an account, joining the waitlist, or using the service, you accept these Terms and our Privacy Policy. If you are accepting on behalf of a business, you represent that you are authorized to bind it.
You must be at least 18 years old to use Writeoff.
2. Beta service
Writeoff is currently offered as a beta. That means:
- Features may be added, changed, or removed without notice, and the service may be unavailable at times.
- The service is provided for evaluation and production use at your own risk, without any service-level commitment.
- We may end the beta, or your access to it, at any time. If we do, we will give you a reasonable opportunity to export your data.
- We may contact you for feedback. Feedback you give us is ours to use without obligation or compensation.
3. Writeoff is not your accountant
Writeoff is bookkeeping and tax-tracking software. It is not a certified public accountant, an enrolled agent, a tax preparer, or a law firm, and nothing it produces is tax, legal, accounting, or financial advice. Categorizations, deduction suggestions, and tax estimates are automated, are generated in part by AI systems that can be wrong, and are based only on the data available to us. You are responsible for the accuracy of your books and the returns you file. Review the output and consult a licensed professional before you rely on it.
4. Your account
Keep your credentials secure and tell us promptly at support@writeoff.tax if you suspect unauthorized access. You are responsible for activity under your account. You may not share a single account across separate businesses in a way that circumvents our pricing.
5. Your data
You own your data. You grant us a limited license to host, process, transmit, and display it solely to operate and improve the service for you, including sending relevant portions to the model providers and financial-data providers described in our Privacy Policy. We do not sell your data and we do not train models on your financial data for the benefit of other customers. You can export your data at any time.
6. Connected accounts and third-party services
When you connect a bank, card, payment processor, or accounting system, you authorize us and our data providers to access that account on your behalf and you agree to that provider's terms. We are not responsible for the accuracy, availability, or acts of third-party services, and a connection may break for reasons outside our control.
7. Acceptable use
You agree not to:
- use Writeoff for anything unlawful, including tax fraud or money laundering;
- upload malware, or attempt to breach, probe, or overload our systems;
- reverse engineer the service or scrape it in bulk;
- resell or white-label the service without a written agreement with us;
- upload data you do not have the right to upload.
8. Text messaging
If you opt in to text messages, the SMS Terms & Conditions apply and are incorporated here. In summary: consent is optional and is not a condition of purchase; message frequency varies and depends on how you use the service. most users receive fewer than 20 messages per month. Message and data rates may apply. Reply STOP to cancel, HELP for help. Carriers are not liable for delayed or undelivered messages.
9. Fees and billing
Beta access may be free, discounted, or paid depending on the plan you are offered. If your plan is paid, fees are billed in advance, are non-refundable except where required by law, and recur until you cancel. We will give you at least 30 days' notice by email before a price change takes effect on your account, and you may cancel before then. Taxes are your responsibility.
10. Our intellectual property
The service, including its software, design, and content, is owned by WriteOff Inc. and protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the service. We reserve all rights not expressly granted.
11. Suspension and termination
You may stop using Writeoff and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a risk to the service or other users. On termination we will make your data available for export for at least 30 days unless prohibited by law.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE OR COMPLETE. THIS IS PARTICULARLY TRUE DURING BETA.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRITEOFF INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TAX PENALTIES, INTEREST, OR ADDITIONAL TAX ASSESSED AGAINST YOU. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
14. Indemnification
You will indemnify and hold WriteOff Inc. harmless from claims arising out of your data, your use of the service in violation of these Terms, or your violation of law or a third party's rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. You and Writeoff will attempt to resolve any dispute informally first by contacting legal@writeoff.tax. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.
16. Changes to these Terms
We may update these Terms. We will post the revision here with a new effective date, and for material changes we will notify you by email or in the product at least 14 days before they take effect. Continued use after that constitutes acceptance.
17. General
These Terms, together with the Privacy Policy and SMS Terms, are the entire agreement between us. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
